in deciding whether a transaction is a transfer of an undertaking for the purposes of the 1981 TUPE regulations, attention must be paid not only to the events directly constituting the transaction but also to the surrounding circumstances and in that connection ".... the anticipations of the alleged transferee may shed light on the true nature of the transaction".
