It is common practice for statutes which impose criminal sanctions to provide that if the offence in question is committed by a company, then any director, manager, secretary or similar officer who consented to or connived at the offence or is negligently responsible for it, will himself/herself be guilty of a separate offence. The legislation on Health and Safety at work and on Environmental protection legislation, as well as employment legislation and the employment Part(s.8) of the Asylum and Immigration Act 1996, contain several such provisions (and see notes at Company Directors/health & safety matters ).
