The Print Factory (London) 1991 Ltd v Millam - TUPE and company takeovers [2006] EAT

It is well established that the TUPE regulations do not apply when there is a transfer of shares in a limited company. Its employees still remain its employees so special rules to transfer their employment contracts to a new employer are not needed.

The EAT has held that this normal rule applies even where a big company buys the shares in a small one and both companies continue to exist as separate legal entities even though in practice their businesses are to a large degree run together as a single operation.
