Personal Hygiene Services Ltd v Mitchell - compromise agreement and restrictive covenants
An "entire agreement clause" in a compromise agreement on termination of an employee's employment related to his employment only and so did not release him from restrictions contained in a previous share sale agreement made between the same parties.
Mr Mitchell was a senior employee of a company called Rent a Crate Ltd. He had shares (or options) over shares in his employer's parent company. The parent company was taken over by Public Hygiene Services Ltd in July 2007. As part of the deal Mr Mitchell sold his shares for some £400,000.
