Keisner v Terrus Group Ltd - former director's continuing duties - High Court ChD 7.11.06

One element of this case related to the extent to which a director continues to owe duties to a company after he has ceased to be a director. It shows that in general his duties and responsibilities to the company cease when he ceases to be a director but not if he resigns in order to exploit an opportunity or to use information which has come to him in his capacity as a director for his own benefit (see paras 127 and following of the judgment)
