Collidge v Freeport Plc - benefits under termination agreement conditional on warranty as to repudiatory breach - High Court (QBD) 25.5.07

Freeport agreed terms with Mr Collidge for the termination of his employment as chief executive. Under the agreement Freeport would pay large sums of money to Mr Collidge but this was expressly "subject to and conditional upon terms..." one of which was that Mr Collidge "warrants as a strict condition of the agreement" that he had done nothing which would amount to a repudiatory breach of his contract.
