McCarthy v McCarthy & Stone Plc - exercise of share options after retirement

This case concerns the interpretation of a particular rule in a Company Share Option Plan. The rule provided that a Remuneration Committee would have ‘absolute discretion’ to determine whether a share option could be exercisable by an Option Holder and also to decide the proportion of the shares to be exercised.
