Ian has significant experience advising businesses on all aspects of employee incentive arrangements, including:

  • designing and structuring share option plans, long term incentive plans, share purchase plans, phantom/synthetic arrangements and cash bonus plans;
  • drafting contractual documents and employee communications for all incentive plans;
  • the tax, legal and regulatory implications of operating incentive arrangements in the UK and internationally;
  • compliance – i.e. for notification, filing, reporting and disclosure requirements;
  • tax structuring, including HM Revenue & Customs tax advantaged share plans, growth share plans, joint ownership plans and international recharge arrangements;
  • providing an internal market for trading private company shares using holding company, special purpose vehicle or employee benefit trust structures;
  • structuring bonus deferral arrangements to meet the PRA/FCA remuneration regulatory requirements for variable pay and on related reporting and disclosure requirements and the rules that apply in other countries;
  • structuring equity arrangements for new hire and severance packages and dealing with employee claims; and
  • managing employee incentive rights in the course of corporate transactions.

  • advising privately held / family / growth companies on operating equity based incentive arrangements to promote on-going value creation or to assist an exit strategy
  • advising on manager share arrangements for asset management and private equity portfolio firms, including using Employee Shareholder Status and “growth shares”
  • advising London Stock Exchange and AIM listed companies on establishing and operating long-term incentive plans and all employee share incentive arrangements and on reporting and disclosure requirements under the Listing Rules and AIM Rules
  • advising international companies on tax, legal and regulatory compliance for employee equity plans and cash plans operating in multiple countries
  • advising banks on structuring remuneration packages to meet the PRA/FCA remuneration requirements, including structuring deferral programmes and allowance programmes and implementing and operating malus and clawback
  • advising global banks on reporting, disclosure and compliance issues arising in respect of UK and EU remuneration regulations and responding to regulatory reporting and disclosure requests from financial services regulators in all major financial centres
  • advising asset management firms on structuring remuneration packages to meet the remuneration structuring requirements of the EU Capital Requirements Directive (CRD), the Alternative Investment Fund Managers Directive (AIFMD) and the forthcoming revisions to the Undertakings for Collective Investment in Transferable Securities Directive (UCITS V) and on related reporting, disclosure and compliance issues
